Terms of Service

These Terms of Service (the "Terms") are an agreement between JoinCPR ("JoinCPR", "we", "us") and the business or individual that creates an account ("you", the "Business"). They govern your use of the JoinCPR platform at joincpr.com and the sites we host for you (the "Service"). By creating an account or using the Service you agree to these Terms.

1. The Service

JoinCPR is software for training providers: class scheduling, public registration pages, payment collection through a payment processor you connect, rosters, certificates, keycodes, email and SMS reminders, and related tools. We host the Service and may improve or change it over time. We will give reasonable notice of changes that materially reduce functionality you rely on.

2. Accounts

You must provide accurate information when you sign up and keep it current. You are responsible for everyone you invite to your account (administrators, staff, instructors) and for everything done under your account. Keep your passwords confidential and tell us at once if you suspect unauthorised access. You must be at least 18 and authorised to bind the Business to these Terms.

3. Subscription, trial and billing

The Service is sold as a monthly subscription. New accounts may receive a free trial; when it ends you must subscribe to keep using the Service. Subscriptions are billed in advance each month through Stripe and renew automatically until cancelled. You can cancel at any time from your billing page; access continues to the end of the paid period and no partial-month refunds are given. If a payment fails we will retry and notify you; if it remains unpaid your account may be suspended until payment is made. Prices may change with at least 30 days' notice by email.

4. Payments from your students

Student payments are processed by the payment processor you connect (Stripe or Square) under your own account with that processor. Funds go to you, not to JoinCPR. You are the merchant of record for your classes and are responsible for your processor's fees, for chargebacks and disputes, for refunds, and for any taxes on your sales. JoinCPR never stores full card numbers. We show payment status, receipts and refunds using data your processor sends us; you remain responsible for confirming amounts with your processor.

5. Your content and your students' data

You own the content you put into the Service: your business details, courses, class listings, student records, certificates, logos and email templates. You grant us the licence needed to host, display, back up and transmit that content in order to run the Service for you. You are responsible for having the right to collect and use your students' personal information, for the accuracy of certificates and training records you issue, and for complying with the requirements of any certifying organisation (for example AHA, American Red Cross, HSI or NSC) whose courses you teach. JoinCPR is not affiliated with those organisations and does not itself certify anyone.

6. Acceptable use

You agree not to use the Service to send unsolicited bulk email or SMS, to collect payments for anything other than your training and related products, to upload malware or unlawful content, to impersonate others, to attempt to access other businesses' data, or to interfere with the Service's operation. Reminder emails and SMS are sent only to people who registered with you; you must honour opt-outs. We may suspend accounts that violate this section.

7. Email, SMS and third-party services

The Service sends email and, where you enable it, SMS on your behalf. Text messages are sent only to students who actively opt in through the consent box on your registration pages, under the SMS Terms and Conditions; you may not use SMS for marketing, lead generation or third-party promotions, and students' SMS opt-in data and consent are never shared with third parties or affiliates. Delivery depends on third-party carriers and providers we do not control. You may connect optional integrations (for example Mailchimp, ActiveCampaign, GoHighLevel, Google Calendar, Microsoft Outlook); your use of those services is governed by their terms, and you can disconnect them at any time.

8. Custom domains and hosted pages

We provide a subdomain for your registration site and can serve it on a domain you own. You must control any domain you connect. We may remove a domain that points at the Service without authorisation or that is used in breach of these Terms.

9. Availability, backups and support

We aim to keep the Service available at all times but do not guarantee uninterrupted operation. We perform routine backups of platform data. You can export your students, registrations and certifications at any time from the Service, and we recommend keeping your own copies. Support is available at [email protected] or (855) 223-3496.

10. Termination

You may close your account at any time. We may suspend or terminate your account for non-payment or for a material breach of these Terms, with notice where practical. After termination we keep your data for a limited period so you can export it, then delete it in the ordinary course, except where we must keep it for legal or accounting reasons.

11. Intellectual property

The Service, including its software, design and documentation, belongs to JoinCPR and its licensors. These Terms do not transfer any of it to you. Feedback you give us may be used without obligation. Course descriptions in our shared course library are provided for convenience; the names of certifying organisations and their programs are the trademarks of their respective owners.

12. Disclaimer

The Service is provided "as is" and "as available". To the fullest extent permitted by law we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose and non-infringement. We do not warrant that the Service will meet your requirements or be error-free.

13. Limitation of liability

To the fullest extent permitted by law, JoinCPR will not be liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, data or goodwill, arising from or related to the Service. Our total liability for any claim arising from these Terms or the Service is limited to the subscription fees you paid us in the twelve months before the claim. Some jurisdictions do not allow these limitations, in which case they apply to the extent permitted.

14. Indemnity

You will defend and indemnify JoinCPR against claims arising from your content, your classes and certifications, your handling of student payments and data, or your breach of these Terms.

15. Changes to these Terms

We may update these Terms from time to time. We will post the new version here with a new "last updated" date and, for material changes, notify account administrators by email at least 14 days before they take effect. Continued use after that date means you accept the new Terms.

16. Governing law and disputes

These Terms are governed by the laws of the State of Illinois, without regard to its conflict-of-law rules. Any dispute that cannot be resolved informally will be brought in the state or federal courts located in Cook County, Illinois, and you consent to their jurisdiction.

17. General

These Terms, together with the Privacy Policy, are the entire agreement between you and JoinCPR about the Service. If any part is found unenforceable the rest remains in effect. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition or sale of assets. Notices to you will be sent to your account email.
